Samudayik Laghubitta Merges with BPW Laghubitta | Joint Operation from Today

Samudayik Laghubitta Bittiya Santha Limited (SLBSL) has successfully merged with BPW Laghubitta Bittiya Sanstha Limited (BPW). After the merger, the joint operation has commenced from Falgun 24, 2080 BS. The joint transaction has started in the name of ‘Samudayik Laghubitta Bittiya Santha Limited’.

For this purpose, Securities Board of Nepal (SEBON) has given the final approval on Falgun 9, 2080 BS. Both the companies signed the final agreement for merger on Karthik 2, 2080 BS.

After the due diligence audit, the companies have agreed to merge in the ratio of 1:0.8535 [100:85.35]. This means that every 100 shares of Samudayik Laghubitta will translate into 100 shares of the company formed after merger. Likewise, every 100 shares of BPW Laghubitta will convert into 85.35 shares of the company formed after merger.

Earlier, both the companies had inked the preliminary agreement for merger on Poush 1, 2079 BS [December 16, 2022].

As of Ashad’s end  2080 BS, Samudayik Laghubitta had a paid-up capital of Rs. 14.52 crores while BPW Laghubitta has a paid-up capital of Rs. 3 crores.
